of the GL Hair Group Online Store

 

1.    Seller

1.1    The online store operating at www.glhairgroup.com (hereinafter referred to as: GL Hair Group Online Store) is operated by GL Hair Group sp. z o.o., with its registered office in Gliwice (44-109) at ul. A. Gaudiego 6, KRS: 0000757816, Registry Court: District Court in Gliwice, Commercial Division of the National Court Register, share capital: 10.000,00 PLN, NIP: 6312512210, REGON: 240553641 (hereinafter referred to as: SELLER).
1.2    Contact with the GL Hair Group Online Store is possible for the BUYER in the following ways:
a)    via traditional mail: 44-109 Gliwice, ul. A. Gaudiego 6;
b)    via e-mail: contact@glhairgroup.com . 

2.    Legal Basis

These Terms and Conditions have been developed taking into account the following provisions of generally applicable Polish and European Union law, in particular:
a)    Civil Code of 23/04/1964 (consolidated text: Journal of Laws of 2023, item 1610, as amended) – hereinafter referred to as k.c.;
b)    Act of 18/07/2002 on Providing Services by Electronic Means (consolidated text: Journal of Laws of 2020, item 344) – hereinafter referred to as u.s.d.e.;
c)    Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) – hereinafter referred to as RODO;
d)    Act of 10/05/2018 on the Protection of Personal Data (consolidated text: Journal of Laws of 2019, item 1781) – hereinafter referred to as u.o.d.o.

3.    Conflict Rule

If any of the provisions of these Terms and Conditions prove to be contrary to mandatory provisions of law, those provisions of law shall apply directly. 

4.    Technical Conditions

4.1.    Within the GL Hair Group Online Store the following services via electronic means are provided:
a)    interactive order form for placing orders;
b)    "Notify about availability" service;
c)    Newsletter subscription;
d)    Customer account management (if applicable).
4.2    Technical requirements for using the GL Hair Group Online Store:
a)    a device with access to the Internet and a web browser (e.g., Chrome, Firefox, Safari, Edge), with a keyboard or another device allowing for the correct completion of electronic forms (it is also possible to place orders using mobile devices);
b)    an active e-mail account
c)    enabling Cookies and JavaScript in the browser settings to maintain the basket and process the order.
4.3    Complaints regarding electronic services (e.g., technical errors of the platform) should be sent to: contact@glhairgroup.com. The SELLER shall respond to such complaints within fourteen days.
4.4    The users are prohibited from providing illegal content via the Store's interfaces. 

5.    Buyer

5.1    Within the meaning of these Terms and Conditions, a BUYER is a natural person with full legal capacity, a legal person, or an organizational unit without legal personality that places an order in the GL Hair Group Online Store for the delivery of products included in the SELLER'S product range 
5.2    The GL Hair Group Online Store’s offer is addressed exclusively to entrepreneurs, who purchase products for purposes directly related to their business or professional activity. By placing an order, the BUYER confirms their professional status. 
5.3    The GL Hair Group Online Store does not conduct retail sales to private individuals (Consumers). 
5.4    Natural persons conducting business are required to declare, at the latest at the time of concluding the contract, whether the purchase has a professional character for them or not. In the absence of a declaration, the SELLER reserves the right to verify the professional status of the transaction based on the circumstances of the purchase and the profile of the BUYER’s activity.

6.    Products

6.1    The subject of transactions conducted via the GL Hair Group Online Store are products included in the SELLER'S product range, presented at www.glhairgroup.com. 
6.2    All products and names are used for identification purposes and may be registered trademarks of their respective owners, used with the consent of the creators or entitled entities.
6.3    Products in the offer are original, brand new, unused, and in the original manufacturer's packaging.
6.4    Product images are for illustrative purposes only and may differ slightly from the delivered products. Differences between the appearance of the product presented on the GL Hair Group Online Store website and the appearance of the product delivered to the BUYER, resulting from the specifics of product presentation within the activities of the GL Hair Group Online Store, in particular regarding color shades, styling, etc., as well as resulting from changes in the graphic form of packaging, do not constitute grounds for a complaint regarding the purchased product.
6.5    The SELLER declares that the products sold via the GL Hair Group Online Store possess all certificates required by Polish law.
6.6    The SELLER shall make every effort to ensure that the products presented on the GL Hair Group Online Store website correspond to the SELLER'S current stock levels.
6.7    All content, photos, and branding in the Store are the intellectual property of the SELLER.
6.8    Use of the SELLER's marketing materials by the BUYER for their own sales purposes requires prior written consent.

7.    Prices

7.1    Prices of all products visible on the GL Hair Group Online Store website are listed in USD and are net prices (excluding VAT and customs duties), unless stated otherwise. 
7.2    For international orders, the Buyer is responsible for any local taxes, customs duties, and import fees applicable in the destination country.
7.3    The prices appearing on the GL Hair Group Online Store website, as well as product descriptions, constitute only commercial information and not an offer. They become binding – for the purpose of concluding a specific contract – only upon confirmation of the order for processing by the SELLER.
7.4    The purchase price binding on the parties to the transaction is the price appearing next to the product at the time the order is placed by the BUYER.
7.5    The store's offer and the prices of individual products may be changed and updated on an ongoing basis. The SELLER reserves the right to change the prices of products presented on the GL Hair Group Online Store website, to post information about new products, to conduct and cancel promotional campaigns on the GL Hair Group Online Store website, or to make changes to them.
7.6    The prices given next to each product do not include delivery costs.

8.    Delivery

8.1    Delivery costs are covered by the BUYER.
8.2    Delivery costs are calculated at checkout based on the weight and destination.
8.3    The BUYER may use the following methods of delivery or collection of the purchased product:
a)    FedEx,
b)    GLS.
8.4    Delivery dates are estimates and are not guaranteed. The Seller is not liable for delays caused by courier companies or customs procedures. 
8.5    Ordered products are delivered to the address provided by the BUYER in the order form. 
8.6    Incoterms: unless agreed otherwise, sales are conducted on EXW or FCA basis.
8.7    The Buyer is obliged to inspect the package upon delivery. If damage is found, a damage report must be signed in the presence of the courier.
8.8    The risk of accidental loss or damage to products passes to the BUYER at the moment it is released from the SELLER’S warehouse to the first carrier or a person designated by the BUYER , regardless of which party bears the shipping costs.

9.    Ordering

9.1    To place an order in the GL Hair Group Online Store, full acceptance of these Terms and Conditions is required.
9.2    An order in the GL Hair Group Online Store is placed by completing the appropriate order form on the website www.glhairgroup.com. 
9.3    When placing an order, the BUYER is obliged to provide correct personal data as indicated in the form, including at least: name and surname (name), exact address (residence and delivery address, if different from the residence address), e-mail address, and mobile phone number.
9.4    In the event of the inability to confirm the order due to the BUYER'S fault (incorrect phone number or e-mail address), the placed order shall be canceled.
9.5    The SELLER reserves the right to refuse or cancel an order in the event of stock shortages or technical errors in pricing.
9.6    In the event that the SELLER is unable to fulfill the order, the BUYER shall be informed of this via e-mail or telephone. Such an order is automatically removed from the ordering system.
9.7    Upon receipt of the order, the acceptance of the order for processing shall be confirmed by the SELLER via e-mail or telephone. Upon confirmation of the acceptance of the order for processing by the SELLER, the contract is considered concluded.

10.    Payment

10.1    Payment of the price by the BUYER may be made by making an online payment through the Shopify Payments (the entity providing electronic online payment services is Shopify Inc.) or PayPal (the entity providing electronic online payment services is PayPal Holdings Inc.).
10.2    The BUYER selects the payment method at the time of placing the order. 
10.3    The SELLER does not accept shipments sent by BUYERS cash on delivery (C.O.D.).
10.4    In the event of a delay in payment, the SELLER has the right to charge statutory interest for delays in commercial transactions. Failure to pay on time entitles the SELLER to suspend the fulfillment of any current and subsequent orders from the BUYER until all outstanding amounts are paid in full

11.    Performance of the Contract

11.1    Order fulfillment begins without undue delay after the conclusion of the contract.
11.2    The SELLER fulfills orders globally, however, in the case of orders from Poland, terms of fulfillment are agreed individually.
11.3    The SELLER fulfills orders within a period starting from 2 [two] calendar days, counting from the date the payment of the price is credited to the SELLER’S account. 
11.4    In the event of unavailability of a specific product, the BUYER, after selecting the "notify about availability" option, will receive a notification at the specified e-mail address when the selected product reappears in the store.
11.5    In the case of promotional sales and clearance sales for which a limited number of products are designated, the conclusion of orders or their fulfillment will take place according to the order in which confirmed orders for these products are received, until the stocks covered by this form of sale are exhausted. In the case referred to in this point, the SELLER reserves the right to determine a different order for concluding transactions or their fulfillment, and the SELLER also reserves the right to introduce other special conditions relating to the conclusion or fulfillment of transactions. The SELLER informs about deviations from the principle of universality, as referred to in the second sentence of this point, on the GL Hair Group Online Store website.
11.6    Ordered products are delivered to the address indicated in the order form.
11.7    At the time of delivery of the product, the BUYER is obliged to confirm its receipt. 
11.8    The SELLER remains the owner of the goods until the full price is paid by the BUYER.
11.9    The BUYER is obliged to assess the condition of the product and its conformity with the order at the time of delivery. In the event that the product is found to be damaged or non-compliant with the order, the provisions regulating the complaint procedure shall apply.

12.    Warranty and liability

12.1    As the products are professional tools and tapes for hair extensions, the BUYER is responsible for their correct use according to professional standards. The BUYER acknowledges that the final result of their application depends heavily on the technical skills of the user and the specific application conditions. The SELLER shall not be held liable for any effects resulting from improper application or use by unqualified personnel
12.2    To the maximum extent permitted by law, the SELLER’s liability under statutory warranty for physical and legal defects of the goods is excluded.
12.3    The SELLER provides a twelve month limited manufacturer's warranty for selected tools starting from the date of delivery. The warranty covers only inherent technical defects and does not cover normal wear and tear, mechanical damage caused by the BUYER or third parties, damage resulting from use contrary to the product’s intended purpose or instructions. Products are subject to warranty only in their original, unused packaging.
12.4    The SELLER shall not be responsible for the operation of external payment service providers.
12.5    The SELLER shall not be liable for indirect or consequential damages, including loss of profit, loss of business or reputational damage, to the extent permitted by law.
12.6    The SELLER shall not be liable for damages and injuries caused by its action or omission resulting from incorrect data received by it from the BUYER.
12.7    The SELLER shall not be liable for damages and injuries resulting from the improper operation of the server on which the Store's internet platform is located; this applies in particular to the effects of errors in the operation of websites, lack of access to them, and other failures, damage, or disturbances in the functioning of internet services.
12.8    The SELLER's total liability for any claims arising from the contract shall not exceed the price paid for the specific goods that caused the damage, unless the damage was caused intentionally. 
12.9    The SELLER shall not be liable for failure or delay in the performance of obligations caused by force majeure events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, epidemics, pandemics, strikes, governmental actions, customs restrictions, supply chain disruptions or failures of telecommunications or power networks. The occurrence of a force majeure event shall entitle the SELLER to suspend or terminate the contract without liability for damages.

13.    Complaints 

13.1    Any complaints shall be submitted within seven calendar days of receiving the shipment, via e-mail: contact@glhairgroup.com. 
13.2    The complaint procedure is conducted exclusively via electronic correspondence. All letters from the SELLER related to the ongoing complaint procedure are directed to the BUYER exclusively to the address from which the complaint was submitted.
13.3    Complaints must include: 
a)    a copy of the invoice or order number, 
b)    clear photographs or videos of the defect, 
c)    a detailed description of the conditions in which the defect was discovered.
d)    in the case of mechanical damage during transport – a damage report signed in the presence of the courier is mandatory.
13.4    The following are subject to complaint:
a)    quantitative shortages of products;
b)    damage to the product (excluding damage for which the SELLER is not liable, in particular damage occurring after the ownership of the product has passed to the BUYER);
c)    non-conformity of the product with the order.
13.5    Complaints concern only the specific products in the quantity or scope affected by the defect. 
13.6    The SELLER is not liable for product defects resulting from its use contrary to its intended purpose or failure to comply with the guarantee conditions.
13.7    The SELLER is not liable for product defects resulting from incorrect transport and storage, if these occurred after the risk passed to the BUYER. 
13.8    The SELLER is not liable for defects resulting from processing, altering, or modifying the product, etc., unless the BUYER proves that the product defect resulted from its original properties and was the sole reason for the faulty processing, alteration, modification, etc.
13.9    The SELLER shall review complaint submissions within fourteen calendar days from the date of receipt of the complete submission. If the complaint is initially deemed admissible, the BUYER may be requested to return the defective product for physical inspection. The BUYER shall bear the initial cost of returning the product. 
13.10    Complaints regarding tapes and adhesives (consumables) are not accepted if the protective seals or original packaging have been opened, or if the product has been partially applied.
13.11    If the complaint is found to be justified, the SELLER shall:
a)    reimburse the Buyer for reasonable shipping costs;
b)    repair the product, replace it with a new one, or refund the pricere – at the SELLER’s sole discretion.
13.12    In the case of non-delivery by the carrier, the SELLER shall initiate a complaint procedure with the shipping company. A refund or re-shipment will be processed only after the carrier officially confirms the loss of the shipment and issues a refund to the SELLER.

14.    Personal Data Processing

14.1    The Administrator of personal data processed in connection with the use of the GL Hair Group Online Store is GL Hair Group sp. z o.o., with its registered office in Gliwice (44-109) at ul. A. Gaudiego 6, KRS: 0000757816, Registry Court: District Court in Gliwice, Commercial Division of the National Court Register, share capital: 10.000,00 PLN, NIP: 6312512210, REGON: 240553641. 
14.2    Personal data is processed for the following purposes and based on the following legal grounds:
a)    Aat. 6(1)(b) GDPR: Performance of the sales contract and providing electronic services (order fulfillment, communication);
b)    Art. 6(1)(c) GDPR: Compliance with legal obligations, in particular tax and accounting regulations (issuing invoices, keeping books);
c)    Art. 6(1)(f) GDPR: Legitimate interests of the Administrator, including defense against claims, debt collection, and fraud prevention;
d)    Art. 6(1)(a) GDPR: With separate consent, for marketing purposes such as sending the newsletter.
14.3    The Administrator also processes the contact data of employees or representatives of the BUYER (name, position, business e-mail) based on Art. 6(1)(f) GDPR for the purpose of executing the contract with the BUYER.
14.4    Personal data will be stored for:
a)    The period necessary for the execution of the contract;
b)    5 years from the end of the year in which the tax was paid (tax storage requirement);
c)    Up to 6 years for the purpose of defending against or pursuing civil claims.
14.5    Providing data is voluntary but necessary to conclude the contract. The BUYER has the right to access, rectify, erase, or limit the processing of data.

15.    Final provisions

15.1    These Terms and Conditions are available at www.glhairgroup.com and in a written version at the address of the company's registered office.
15.2    The invalidity, illegality, or unenforceability of any of the provisions of these Terms and Conditions shall not affect the validity of the contract concluded between the parties.
15.3    The SELLER reserves the right to change the sales rules specified in these Terms and Conditions. Any changes to the Terms and Conditions apply only to orders placed after they have entered into force.
15.4    Changes to the Terms and Conditions are effective from the moment of their publication on the GL Hair Group Online Store website and do not apply to orders placed before that date.
15.5    Telephone calls as well as electronic and paper correspondence conducted in connection with the activities of the GL Hair Group Online Store may be recorded and archived. Disclosure of any details resulting from these conversations or correspondence is unacceptable, unless it is to occur with the express consent of the sender and recipient, or when it is necessary due to a claim pursued by the SELLER, in particular against the recipient or sender, or when it is necessary due to a provision of law and at the request of a state authority authorized to do so.
15.6    In matters not regulated by these Terms and Conditions, the relevant provisions of generally applicable law shall apply, in particular the provisions of the acts referred to in point 2.
15.7    All agreements concluded under these Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Poland. In the event that these Terms and Conditions are translated into other languages, the English version shall prevail in the event of any conflict or discrepancy.
15.8    Any disputes arising out of or in connection with the sales contract shall be settled exclusively by the court having jurisdiction over the SELLER’s registered office.
